Paramount concessions lead UK to approve takeover of Warner Bros

UK Culture Secretary Lisa Nandy will not block Paramount's proposed £85 billion acquisition of Warner Bros Discovery after securing concessions. Paramount agreed to maintain Channel 5 as a public service broadcaster until 2034, ensuring its news division retains editorial independence and remains separate from CBS News and CNN International. The deal also guarantees that Paramount's UK services will keep distinct editorial identities for five years and will not reduce content commissioning in Britain. The UK's Competition and Markets Authority and the EU have already approved the merger, which would create a global media powerhouse. The acquisition still faces a legal challenge in the US, with a trial scheduled for March 2027.

British regulators have cleared Paramount's $81 billion takeover of Warner Bros. Discovery, removing a significant hurdle for the proposed merger. The U.K.'s Competition and Markets Authority ruled that the acquisition would not substantially lessen competition in the country. Additionally, Britain's Department for Digital, Culture, Media and Sport will not intervene, provided Paramount adheres to legally binding commitments regarding its U.K. broadcasting and on-demand services, including maintaining editorial independence for Channel 5 and keeping children's channels distinct. Paramount welcomed the U.K.'s decision as an important milestone. However, the merger still faces challenges in the U.S., where 12 states have sued to block the deal, alleging it would reduce competition.

The UK government and its antitrust watchdog, the Competition and Markets Authority (CMA), have approved Paramount Skydance's $110 billion takeover of Warner Bros. Discovery. This decision was made on Thursday, with both entities clearing the deal after initial concerns regarding media plurality and competition were addressed.
